TERMS & CONDITIONS

1. Definitions

1.1 “The Roundhouse Group” means The Roundhouse Group Pty Ltd, its successors and assigns or any authorised representative.
1.2 “Client” means the client or authorised representative as per agreement.
1.3 “Guarantor” means any person or entity liable for the Client’s obligations.
1.4 “Goods” means all goods and services provided by The Roundhouse Group.
1.5 “Services” includes websites, hosting, SEO, branding, design, development, consulting, and maintenance.
1.6 “Digital Goods” includes all digital deliverables such as websites, software, integrations, and assets.
1.7 “Price” means the agreed cost of services or goods.

2. Acceptance

2.1 Acceptance of services confirms agreement to these Terms.
2.2 Multiple Clients are jointly and severally liable.
2.3 Terms can only be changed in writing.
2.4 Client must notify changes to details within 14 days.

3. Price & Payment

3.1 Pricing is based on invoice or quotation (valid 30 days).
3.2 Prices may change if scope changes.
3.3 A non-refundable deposit of up to 50% may apply.
3.4 Payment terms may be upfront or instalments as agreed.
3.5 Standard payment terms are 7 days.
3.6 Late payment may result in suspension.
3.7 Taxes (GST if applicable) are additional.

4. Delivery

4.1 Delivery occurs when services are completed, accessed, or Digital Goods are delivered.
4.2 Delivery timelines are estimates only.
4.3 No liability for delays or interruptions.

5. Content & Responsibility

5.1 Client is responsible for all supplied content.
5.2 No responsibility for proofreading, legal, or compliance checks unless agreed.

5.3 The Roundhouse Group accepts no liability for:
5.3.1 Errors or inaccuracies in content
5.3.2 Loss of revenue, leads, or business
5.3.3 Client-approved materials
5.3.4 Any outcomes based on published content

5.4 Client warrants all content is lawful and non-infringing.
5.5 Client indemnifies The Roundhouse Group against all claims arising from content.

6. Hosting & Third-Party Services

6.1 Third-party services may be used.
6.2 Client acknowledges risks such as downtime and data loss.

6.3 The Roundhouse Group is not liable for:
6.3.1 Hosting downtime or outages
6.3.2 Cyber attacks or malware
6.3.3 Data loss or corruption
6.3.4 API or plugin failures
6.3.5 Third-party platform failures
6.3.6 SEO or ranking changes

6.4 Client is responsible for backups and continuity.

7. Risk

7.1 Risk passes to Client upon delivery.

8. Intellectual Property

8.1 Ownership transfers only after full payment.
8.2 All working files remain property until paid.
8.3 Third-party licenses remain under their own terms.

9. Acceptance

9.1 Work must be reviewed within 7 days.
9.2 If no issues are raised, work is deemed accepted.

10. Warranty & Liability

10.1 Services are provided “as is” without guarantees.
10.2 No guarantee of results (sales, traffic, SEO, etc.).

10.3 The Roundhouse Group is not liable for:
10.3.1 Loss of revenue or profit
10.3.2 Downtime or errors
10.3.3 Cyber incidents
10.3.4 Third-party failures
10.3.5 Data loss

10.4 Liability is limited to amount paid for services.
10.5 No refunds for performance or downtime issues.
10.6 Client indemnifies The Roundhouse Group for all claims.

11. Default & Suspension

11.1 Services may be suspended for non-payment.
11.2 All unpaid amounts become immediately due.
11.3 Services may be terminated for breach.

12. Cancellation & Refunds

12.1 Deposits are non-refundable once work begins.
12.2 No refunds unless agreed in writing.
12.3 Suspension carries no liability.

13. SEO Services

13.1 SEO is provided at Client’s risk.
13.2 No guarantee of rankings or traffic.
13.3 SEO payments are non-refundable.

14. Project Timelines

14.1 Timelines are estimates only.
14.2 Delays caused by Client may extend timelines.
14.3 No liability for delays.

15. Revisions

15.1 Up to 3 revision rounds included.
15.2 Additional revisions are chargeable.

16. General

16.1 Invalid clauses do not affect remaining Terms.
16.2 Governed by laws of Queensland, Australia.
16.3 No liability for indirect loss.
16.4 No set-off allowed.
16.5 Subcontracting is permitted.
16.6 Terms may change anytime.
16.7 Force majeure applies.
16.8 Quotes valid 30 days.
16.9 Inactive projects may be requoted.
16.10 Long projects may be terminated without refund.
